Non-Disclosure

Confidentiality. Without the prior written consent of the disclosing party, except to the extent required by an order of a court having competent jurisdiction or under subpoena from an appropriate governmental agency, the receiving party shall not disclose any trade secrets, clients, client lists, homeowner information, financial information, project pro formas, marketing plans, sales plans, management organization information (including data and other information relating to members of management), operating policies or manuals, business plans, financial records, or other financial, commercial, business or technical information relating to the disclosing party or its subsidiaries and/or affiliates or information designated as confidential or proprietary that the disclosing party may receive belonging to others who do business with the disclosing party (collectively “Confidential Information”) to any third person nor use, derive a benefit from or otherwise claim any proprietary interest from and in the Confidential Information, unless such Confidential Information has been previously disclosed to the public by the disclosing party or is in the public domain. The receiving party acknowledges and agrees that the covenants and obligations of the receiving party with respect to confidentiality relate to special, unique and extraordinary matters and that a violation of any of the terms of such covenants or obligations will cause the disclosing party irreparable injury for which adequate remedies may not be available at law. Therefore, the receiving party agrees that the disclosing party shall be entitled to an injunction, restraining order or other equitable relief (without the requirement to post bond therefore) restraining receiving party from committing any violation of the covenants or obligations contained in this paragraph. These injunctive remedies are cumulative and are in addition to any other rights and remedies the disclosing party may have at law or in equity. This paragraph shall survive the termination hereof or expiration of the Term hereof.
Non-Circumvention. The parties hereby agree that it shall not use any of the Confidential Information learned to enter into any transactions, agreements or understanding (whether oral or written) or exercise any rights in any manner that would have the effect of circumventing the other under or in respect of this Agreement.
